Terms of Service
Effective 23 September 2026
These terms govern your use of the xPM project controls platform and related services (the “Services”) provided by xPM Solution (“xPM”). If your organization has a separate signed agreement with xPM, that agreement prevails where it conflicts with these terms. By signing in you accept these terms on your own behalf and, where applicable, on behalf of the organization that gave you access.
1. Accounts
- You must provide accurate information and keep it up to date.
- Keep your credentials confidential, use multi-factor authentication when your organization requires it, and tell us promptly about any unauthorized use.
- Your organization manages who can access its workspace and projects.
2. Acceptable use
You agree not to:
- access data or projects you are not authorized to access;
- probe, scan or test the vulnerability of the Services, or bypass security or rate limits, without our written permission;
- upload malware or content that infringes others’ rights or breaks the law;
- reverse engineer the Services, except where the law allows it;
- use the Services to build a competing product or to scrape them in bulk.
3. Customer content
Your organization keeps all rights in the content it uploads or creates (“Customer content”). You grant xPM a limited license to host, process and display Customer content only to provide, secure and support the Services. We handle personal information as described in our Privacy Notice.
4. AI-assisted features
Some features use machine-learning models to analyze documents and suggest findings, such as RFIs or document review results. These outputs are aids to professional judgment, not professional advice. Review them before relying on them for design, construction, safety or contractual decisions.
5. Our intellectual property
xPM and its licensors own the Services, including software, designs and documentation. These terms give you a right to use the Services during your organization’s subscription; they do not transfer ownership. Feedback you give may be used to improve the Services without obligation to you.
6. Third-party services
The Services may connect to third-party products, such as Google sign-in or document storage your organization links. Their use is governed by the third party’s terms.
7. Availability and changes
We work to keep the Services available and secure, but they may occasionally be interrupted for maintenance or for reasons outside our control. We may improve or change features; we will not materially reduce core functionality during a paid subscription term without notice.
8. Suspension and termination
We may suspend access that threatens the security or integrity of the Services or breaches these terms, and will notify your organization where reasonable. Your organization may stop using the Services at any time under its agreement. Sections that by their nature should survive termination will survive.
9. Disclaimers
Except as expressly stated in a signed agreement, the Services are provided “as is” and “as available”, and xPM disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
10. Limitation of liability
To the extent the law allows, xPM is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and xPM’s total liability for any claim relating to the Services is limited to the fees paid for the Services in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and, for material changes, notify account holders in advance. Continued use after the effective date means you accept the updated terms.
12. Governing law
These terms are governed by the law named in your organization’s agreement with xPM. Without such an agreement, disputes will be resolved in the courts of the place where xPM Solution is established, unless mandatory law provides otherwise.
